1. BETA COHORT 1 SERVICE AGREEMENT
1.1 Service Overview
Liaison Reception ("LR"), operated by Julie Berthelot, provides a fully managed bilingual AI receptionist service ("Service") for home service and trades businesses in the Ottawa-Gatineau region ("Customer").
1.2 Beta Cohort Terms
This agreement covers Beta Cohort 1, a limited-time program with the following terms:
- Limited Spots: 5 customer slots available
- Beta Pricing: $397 CAD per month (first month) / $497 CAD per month (ongoing)
- Enrollment Deadline: June 15, 2026, or upon filling all 5 spots
- Minimum Term: 30 days
- Beta Feedback Commitment: Customer agrees to provide honest feedback and a written review after 30 days of service
- Service May Change: LR reserves the right to modify features, functionality, or pricing after the beta period ends
2. SERVICE DESCRIPTION
2.1 Core Functionality
The Service includes:
- A fully managed AI receptionist powered by Retell.ai
- 24/7 call handling in English and French (additional languages available on request)
- Call recording and transcription
- Voicemail-to-email/SMS delivery to Customer
- Daily digest reports of all call activity
- Customizable call routing and after-hours handling
- Customer support via email
2.2 Not Included
- Customizations beyond the scope of the standard Service
- Integration with third-party systems (unless explicitly agreed in writing)
3. DATA PROCESSING & PRIVACY
3.1 Data Controller/Processor Relationship
- Customer: Data Controller
- Liaison Reception (Julie Berthelot): Data Processor
- Retell.ai: Sub-processor (AI agent & call handling)
Customer is responsible for:
- Obtaining customer consent to record calls
- Complying with applicable privacy laws
- Disclosing call recording to callers at the start of each call
3.2 Call Recording Disclosure
The AI receptionist will inform all callers: "This call is being recorded for quality assurance and documentation purposes." (or equivalent in the caller's preferred language)
3.3 Data Retention
Call recordings and transcripts are retained for a minimum of 30 days, and deleted upon request or after 90 days of inactivity, unless legal obligation requires longer retention.
3.4 Quebec Privacy Laws
This Service complies with:
- Quebec Law 25 (Bill 64): Protection of Personal Information in the Private Sector
- Bill 96 (Law on the official status and use of French): Data systems and AI must respect French language rights
Customer remains solely responsible for compliance with their own privacy obligations.
4. CALL HANDLING & LIABILITY
4.1 Service Availability
LR will make commercially reasonable efforts to maintain 99% uptime. LR is not liable for:
- Outages caused by third parties (Retell.ai, Twilio, internet providers)
- Natural disasters, acts of God, or force majeure
- Customer-caused configuration errors or misuse
4.2 AI Agent Limitations
The AI receptionist is not a substitute for human judgment. It may:
- Misunderstand accents, technical terms, or complex requests
- Provide inaccurate information if the knowledge base is incomplete
- Miss edge cases or unusual scenarios
Customer is responsible for:
- Reviewing call summaries for accuracy
- Following up with callers directly when needed
- Maintaining the knowledge base (intake form, guardrails) for accuracy
4.3 Limitation of Liability
Liaison Reception's total liability for any claim arising from this Service is limited to the fees paid in the preceding 30 days. LR is not liable for indirect, incidental, consequential, or punitive damages.
5. PAYMENT & BILLING
5.1 Payment Terms
- First month: $397 CAD (charged upon signup)
- Subsequent months: $497 CAD, charged automatically on the monthly anniversary of your signup date (e.g., sign up on the 17th → renewed on the 17th of each subsequent month). For signups on the 29th, 30th, or 31st, renewal shifts to the last day of shorter months.
- Payment via Stripe
5.2 Invoicing & Refunds
- Invoices issued at the start of each billing cycle
- Beta period (first 30 days): Full refund if cancelled within 30 days for any reason
- Post-beta (month 2+): Month-to-month service; cancellation effective at end of current billing period
- No refunds for partial months
6. CUSTOMER RESPONSIBILITIES
6.1 Accuracy of Information
Customer must provide:
- Accurate business information (name, service areas, hours of operation)
- Correct intake form content (services offered, pricing, booking instructions)
- Current contact information for billing and support
6.2 Compliance
Customer is responsible for:
- Obtaining all necessary licenses and permits for their business
- Complying with local, provincial, and federal laws
- Informing callers that they are speaking with an AI receptionist (if required by law)
- Honoring all commitments made by the AI receptionist (e.g., booking slots, quotes, callbacks)
7. INTELLECTUAL PROPERTY
7.1 LR Ownership
Liaison Reception retains all rights to:
- The LR platform, software, and AI technology
- All improvements, modifications, or derivative works
- Anonymized usage data and insights (for product improvement)
7.2 Customer Content
Customer retains ownership of:
- Business information provided to LR
- Call recordings and transcripts
- Knowledge base content (intake form, guardrails)
Customer grants LR a non-exclusive, royalty-free license to use Customer content solely to provide the Service.
8. TERMINATION
8.1 Termination by Customer
- During beta (first 30 days): Cancel anytime for full refund
- Post-beta: Month-to-month; cancellation takes effect at end of current billing period
- No early termination fees
8.2 Termination by LR
LR may terminate this agreement if:
- Customer fails to pay two consecutive months
- Customer violates the Terms (e.g., misrepresenting the AI as human, illegal use)
- Customer requests termination in writing
Termination is effective immediately upon notice, or at end of current billing period (LR's discretion).
9. CONFIDENTIALITY
Both parties agree to:
- Keep the other party's confidential information private
- Use confidential information only to perform obligations under this agreement
- Protect confidential information with reasonable security measures
Exceptions: Information that is publicly available, independently developed, or required by law to disclose.
10. GOVERNING LAW & JURISDICTION
This agreement is governed by the laws of Quebec, Canada. Both parties consent to the exclusive jurisdiction of the courts of Quebec for any disputes.
11. MODIFICATIONS & AMENDMENTS
11.1 Changes to Terms
LR may modify these Terms with 30 days' written notice. Customer's continued use of the Service constitutes acceptance of modified terms.
11.2 Changes to Service
During the beta period, LR may change features or pricing. Post-beta, significant changes will be communicated in advance.

13. ENTIRE AGREEMENT
This agreement, together with the Privacy Policy, constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements.
By signing up for Liaison Reception, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
